General Terms and Conditions

Definitions
“You” The natural person entering into this agreement “Workhere” is a trading style of T L B Properties Limited, 3 Cavendish Court, South Parade, Doncaster, DN1 2DJ “Workhere Space” is an area at Cavendish Court, South Parade, Doncaster, DN1 2DJ designated by T L B Properties Limited for the purpose of co-working “Common Parts” are such entrance halls, lifts, staircases, landings and other means of access in or upon Cavendish Court, South Parade, Doncaster, DN1 2DJ, the use of which is necessary for obtaining access to and egress from Workhere Space “Agreement” means these terms and conditions, and any other documents which form the contract between You and T L B Properties Limited “Permitted Use” is as offices for business purposes only “VAT“ value added tax chargeable under the Value Added Tax Act 1994 or any similar replacement or additional tax “Competent Authority” means any statutory undertaker or any statutory public, local or other authority or regulatory body or any court of law, government department or any of them or any of their duly authorised officers

Clause, schedule or paragraph headings shall not affect the interpretation of the Agreement and any schedules form part of the Agreement and any reference to the Agreement includes the schedules.

A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality) and a reference to a company shall include any company, corporation or other body corporate, however incorporated or established.

Unless the context requires otherwise, words in the singular shall include the plural and in the plural shall include the singular, and a reference to one gender shall include a reference to the other genders.

A reference to a statute or statutory provision is a reference to it as it is in force for the time being, taking in account of any amendment, extension, re-enactment and includes any subordinate legislation for the time being in force made under it; provided that, as between the parties, no such amendment or re-enactment shall apply for the purposes of this agreement to the extent that it would impose any new or extended obligation, liability or restriction on, or otherwise adversely affect the rights of any party.

A reference to writing or written can include email.

Any obligation in this Agreement on a person not to do something includes an obligation not to agree or allow that thing to be done and to use its best endeavours to prevent such act or thing being done by a third party.

Any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms.

A reference to You includes a reference to all your employees, agents, and all other persons in the Building with the express of implied authority of you.

Keys, Fobs, Account Details and/or Mobile Phone Applications
Keys, fobs, online accounts and access via mobile phone applications (“Access Media”) are provided to You for access in to and out of Workhere, and for access to the ancillary services provided. Access Media may be used by You only, and is not transferable to third parties. Access Media remain the property of T L B Properties Limited at all times. You shall forthwith return any Access Media to T L B Properties Limited at the termination of the Agreement (howsoever terminated). Door fobs require a refundable £15 deposit. Any loss of the Access Media must be reported to T L B Properties Limited immediately. Compensation for lost fobs will be charged at £40.00+vat. You must not copy the Access Media or allow anyone else to use it.

Use of Workhere facilities
T L B Properties Limited will make available the following services to You Monday to Friday 9am-5pm other than UK Bank and Public Holidays, and for an annual close down period in December, which will be advised in writing:

  1. Use of workspace including chairs and desks on a first come first served basis
  2. Wireless internet connection
  3. The use in common with others of any equipment or other facilities which T L B Properties Limited at their absolute discretion provide, subject to paying the costs of using them notified to You from time to time. Use of Workhere facilities is subject to keeping the Workhere Space clean and tidy and not damaging fixtures or fittings. Users must also adhere to any additional rules displayed in the Workhere Space.

How Our Address May Be Used
This service is for UK based customers only. You can only use the address on websites, business cards, letterheads, contact address, general correspondence, Companies House, trademarks and patents. Note: Full address will be provided at commencement of service. It is important that you use the exact address wording given so that your mail arrives at our office. Post must be addressed to the business name on your Workhere account, any post without a business name will be returned to sender. Any post not using the full correct address will be returned to sender. By entering in to this agreement, you acknowledge that no relationship of Landlord and Tenant is, or is intended, to be created. You are accessing a public space open to members only.

How Our Address Must Not Be Used
We offer only a business correspondence address or registered office address for receiving and holding/forwarding standard post. You may not imply that you have a physical presence here.

Parcels
We do not allow any large parcels to be received.

Termination
a) We reserve the right to cancel your service immediately without a refund if terms and conditions are breached. b) We reserve the right to terminate the service if the monthly payment is not received on the second day of the month. c) We reserve the right to suspend a Virtual Office account due to non-payment, returning all held post to sender with immediate effect. d) We may inform law enforcement agencies if we suspect our address or premises are being used for any illegal or immoral activity. We will immediately terminate this agreement without refund. e) We reserve the right to terminate the service without giving any reason.

Modifications to the Agreement
T L B Properties Limited reserves the right to modify this Agreement at any time, with or without notice, and is under no obligation to support, maintain or update the service provided. The amended terms shall be effective immediately after being communicated on https://letsworkhere.com or issued by email using the information provided.

Circumstances when a Refund Will Be Given
We reserve the right to cancel the service at any time. In that unlikely event, we will give at least 10 working days’ notice, when possible, and refund in full any remaining unused days of the monthly fee (calculated pro-rate). The method of refund is at our discretion and any transaction charges incurred by us will be deducted from the amount being refunded.

Cancellation By You
If you wish to cancel the service, you must cancel the plan in your Workhere account. One full months’ notice is required to cancel. Your notice will start from the Payment Date (first of the month). You must also make alternative arrangements for your post. No mail will be forwarded or held after the cancellation date and you will not be able to access the space or use the services.

Renewal of Services
Workhere is a month to month rolling contract. The monthly fee is to be paid by the second of the month to cover that current month. If the monthly fee is not received on time no further post will be taken, access will be revoked, and any remaining held post will be returned to sender. We may, but are not obliged to, inform any third parties that you are no longer operating from the address.

Payment
Regular payment of the monthly fee must be made by credit or debit card using our online system. In order to forward post, there is a cost of £5 plus postage costs each instance. Postage costs must be paid by the customer prior to sending the post. Postage costs can be paid at any time during the month and will be held on account for future use. Any unused postage money held on account which is not used at the time of cancelling the service will be refunded in full within 10 working days. If You have any queries about any charges on your account then these should be sent to accounts@vigogroup.co.uk within 30 days of the date of invoice. Failure to use the account will not be a basis for refusal to make payment. Any payment received after the due date will be charged interest and compensation in accordance with The Late Payment of Commercial Debts (Interest) Act 1998.

Set-up Costs For Virtual Office Services, there is a one-off £10 set-up fee to add your business name to the Virtual Office signboard posted at Workhere.

Workhere rights and responsibilities
Workhere may without notice suspend the provision of services (including access to Workhere Space) for reasons of events outside of our control, including but not limited to political unrest, strikes and adverse weather conditions. Workhere may close access to the Workhere Space for its own events or events run by third parties. Such closures will be notified at least one week in advance and You will not be entitled to compensation as a result. Workhere is not responsible for any failure until You have informed us, and a reasonable time has been provided to remedy any failure. You acknowledge that Workhere, T L B Properties Limited or any connected parties are not liable under any circumstances for loss of business, loss of profits, loss of anticipated savings, loss as a result of damage to data, consequential losses or any other losses as a result of any actions or failure to take action. Your right to remedy under this Agreement shall be limited to £100.00. CCTV recording may be in use at all times around Cavendish Court and You consent to your personal details being recorded, and your image being recorded, captured and maintained. You are responsible for your personal property at all times, and for your health and safety and that of any guests, employees, agents or others with your actual or implied authority to be within Cavendish Court.

Returns of Misdirected Post
Should customers receive, by accident, any mail or letters not specifically addressed to them by the sender, they shall be obliged to return said mail to Workhere at their own expense and we will credit the cost of return postage to their account.

Identity and Proof Documents
In order to set up your virtual office you will be asked to provide us with a copy of the following forms of identification:

  • Copy of photographic ID (Passport photocard driving license, European Identity Card)
  • Copy of a utility bill or bank statement that has your name and address on it

In the case of a Limited company you will be asked to provide us with a copy of the company registration number and ID, as above, for each director or significant shareholder.

For Virtual Office services, you will also be required to complete a Companies House AD01 form, which we will retain on file until the termination of your contract. This must be completed and a hard copy received by us prior to set up of your account.

Collection of Post
Collection of post will take place at our office during our normal opening hours of 9am to 5pm Monday to Friday. Collections should be made no more frequently than once each day, and no less frequently than twice per month. Post will only be released to the named person on the account or others authorised by the named person on account. A valid ID document may be requested when first collecting post. These documents can include a passport, driver’s license, utility bill or bank card. Where an account is set up in a company name, we will only release post to an authorised officer on production of a valid ID document. Otherwise, post can only be sent to the forwarding address. Post will be held until the last day of the following month in which it is received, or until the service is terminated either through the customers’ cancellation or our termination. Uncollected post will be returned to sender.

Forwarding Post
Post can only be sent to the forwarding address given below, under this agreement. Changes in the forwarding address must be in writing and address verification may be necessary. Optional opening, scanning and electronic delivery of post is available. There may be an additional charge for this service if requested.

Change of Details
You must inform us immediately in writing or via email of any changes to your contact details.

Indemnity
All personal items left in the Workhere Space are at the owners risk, we do not accept any responsibility for lost, stolen or damaged items. We do not accept any liability for lost, stolen, damaged, late or otherwise misdirected or mishandled items of mail. We cannot accept any compensation claim that is the result of consequential loss to your business. On-site, paid parking is available at an additional charge, we cannot accept any responsibility for parking tickets received as a result failing to pay for parking while using Workhere. By accepting these terms, you fully agree to indemnify us from any such claim. You also agree to fully indemnify us from any claim, for whatever reason, from a third party, including partner services, and that any such claim will be handled solely and completely between yourself and the third party.

Your Responsibilities
To pay to T L B Properties Limited all fees, charges and costs without any deduction at the time we inform you that they fall due and in any case never later than 14 days following date of invoice without any deductions. You must only carry on business at Workhere Space using the name and details provided to us and approved. The names Workhere, T L B Properties Limited, Vigo Group and all logos, brand and images are the property of T L B Properties Limited or the Directors of T L B Properties Limited and You shall not use them or otherwise represent yourself as connected to Workhere, T L B Properties Limited, Vigo Group or any associated company or individual. You must only use the Workhere Space for its permitted use. You will not do or allow anything to be done in the Workhere Space which is illegal, immoral, brings the space or the operators businesses in to disrepute or which is or may become a nuisance to other users of the Workhere Space, of Cavendish Court or anyone else. You will not browse or download material of an illegal, immoral, pornographic, or offensive nature including items which are in breach of copyright legislation using the internet service provided, or while at the Workhere Space or in Cavendish Court. You will not carry on business which involves frequent unplanned visits by members of the public. You will not leave any property unattended on the premises or display any advertisements, signboards, nameplates, inscriptions, flags, banners, placards, posters, signs or notices in the Workhere Space or elsewhere at Cavendish Court. You will fully indemnify T L B Properties Limited against any expenses, costs, claims, damages or penalties incurred by us in connection with this Agreement, howsoever occasioned. While the Agreement is in force and for six months after it ends, You will not solicit or offer employment to any staff of T L B Properties Limited, Imyco Construction Limited, or any group or connected company. The penalty for breaching this term will be 6 months of the individual's salary at the rate paid by us. You shall keep all Workhere equipment in the same condition that it is provided in and will notify us immediately of any damage caused by You or your agents, visitors or any third party. You will comply with any rules, requirements, restrictions which are set out by Workhere from time to time and notified to you by email, public display within Workhere space or provided on a website to which You have access. You must not leave any items within the Common Parts or leave them dirty. Internet connection can not be guaranteed and You acknowledge that you will have no claim for failure to provide adequate or any internet connection. You will only smoke in external areas of Cavendish Court designated for this purpose and will dispose of all waste in the receptacles provided. You will comply with all fire safety regulations

No Warranties for Condition or Use
T L B Properties Limited give no warranties that the building or the equipment possess the necessary consents for the permitted use T L B Properties Limited give no warranties that the building or the equipment are physically fit for the permitted use.

Damage and Insurance
You are responsible for any damage beyond normal wear and tear caused by You or your agents, visitors, or those on the premises with your actual or implied authority. You are responsible for insuring your personal property against all risks. You agree to waive any right of recovery against T L B Properties Limited, our Directors, and any associated companies and their Directors, for damage or loss to any of your property.

General
Any notice given by either party shall be in writing and shall be deemed to have been served:

  1. If delivered personally, when left at the address and for the contact provided
  2. If sent by pre-paid first class post or recorded delivery, at 9:00am the working day after delivery
  3. If delivered by commercial courier, at the date and time that the courier's delivery receipt is signed. To the extent permitted by law, You agree to indemnify us in respect of all liability, claims, damages, losses and expenses which may arise, including but not limited to in any of the following circumstances:
  4. If someone dies or is injured at Cavendish Court or in the Workhere Space, or when using the equipment or services provided;
  5. From a third party in respect of your use of the services;
  6. If You do not comply with the terms of your agreement. You will pay all costs, including but not limited to reasonable legal fees, which we incur in enforcing this Agreement.

Rights of Third Parties
Anyone who is not a party to this Agreement may not enforce any of its terms under the Contracts (Rights of Third Parties) Act 1999.

Governing Law and Jurisdiction
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes and claims).
